- ACCESS AND SECURITY

- To access our Website, you should be at least 18 years old or the age of legal majority in your jurisdiction and competent to enter into these terms, conditions, obligations, affirmations, representations, and warranties herein.
- The Users under the age of 18 but not younger than the age of 13 can use our Website only in conjunction with and under the supervision of a parent(s) or legal guardian or caregiver. The parent(s) or legal guardian or caregiver shall at all times, be responsible for all activities related to use of the Website by their child.
- The Website services are specifically intended for the use of parent(s), guardians, and caregivers of Special Learners and not for the use of children under the age of 13 years.

- You may access our Acuity Website Services as (i) Registered Clients, i.e., parent(s), legal guardian(s), and caregiver seeking online Educational Resources for their Special Learners; and (ii) Registered Users i.e. employees engaged with Company to develop Educational Resources.
- Account Security
- When registering on our Acuity Website you agree to provide true, accurate, updated information about yourselves.
- You agree to maintain the confidentiality of your account including username and password.
- You agree not to share, sell, transfer, or assign your account and access credentials to any unauthorized individuals.
- You agree to notify us immediately of any unauthorized access or security breach in your account.
- You shall not use the Acuity Website if you are not competent to contract or are disqualified from doing so by any applicable laws, rules, or regulations currently in force.
- VERIFICATION
Registered Users, i.e. the employees, and therapist(s) engaged with our Company to develop Educational Resources agree to submit their credentials including identity proofs, and educational certifications for verification purposes, as per our Company norms and regulations. However, we do not endorse or warrant the reliability of the credentials provided by the users.
- EDUCATIONAL RESOURCES DEVELOPMENT AND USAGE
- The user agrees to create and develop Educational Resources catering to appropriate therapeutic contexts for Special Learners.
- The user may adjust the material presentation to suit the individual client’s needs, and customize pricing and delivery methods.
- The user agrees to combine the materials in session-specific and therapeutically appropriate ways.
- The users shall use the Educational Resources considering individual client needs and capabilities, in conjunction with the proper professional assessment.
- The users shall not fundamentally alter the content or purpose of the materials, remove or modify therapeutic guidelines, change core educational objectives, or alter assessment criteria.
- USAGE
Acuity Website is designed for self-use and use of Acuity Website’s Educational Resources for your commercial profit is strictly prohibited. The Acuity Website and its services are accessible to all US residents irrespective of creed, state of residence, or disability. We offer services in several languages including but not limited to English, Spanish, Vietnamese, Tagalog
- OCCASIONAL INTERRUPTION OF SERVICES
- Acuity Website may become unavailable periodically due to maintenance or malfunction of computer equipment or other reasons. You acknowledge that the website is evolving and that the form and nature of the services may change from time to time without your notice.

The Platform is also protected as a collective work or compilation under U.S. Copyright and other laws and treaties.
- You shall not share access to materials with unauthorized users, copy, extract, modify, alter, or isolate any visual elements from our materials, create derivative works based on our material, or remove any copyright or proprietary notices from the materials.
- You shall not use any of the intellectual property displayed on the portal in any manner that is likely to cause confusion among existing or prospective clients of the Platform or that in any manner disparages or discredits the Platform.
- If you are a client, we grant you a limited, revocable, non-transferable, non-sublicensable, non-exclusive right to access and use the Acuity Website solely for your non-commercial personal use.
- Authorized users are granted a limited, revocable, non-exclusive, non-transferable license to access and use the materials solely to provide therapeutic and educational services to the Company’s Clients.
- You as a User involved in the development of the Educational Resources shall not use and plagiarise any other individual or entity’s work without acknowledgment, and any user in contravention of this obligation shall be dismissed from the services. The User acknowledges that all work developed by them is “Work Made for Hire” as defined in Title 17 U.S.C. §101 and is the sole property of the Company. The users hereby assign to the Company, the entire right, title, and interest in and to all of the rights to such Work Made for Hire.
- You are further aware, that any reproduction or infringement of the Company’s intellectual property by you shall result in the institution of legal action against you by the Company. You agree that the content of this provision shall survive even after termination or lapse of these Terms, Privacy Policy, and Cookie Policy.

- CLIENT AND USER CODE OF CONDUCT
- You agree and acknowledge to the following:
- To provide genuine credentials whenever required on the Acuity Website and you shall not use a fictitious identity. The Company shall not be liable for any false information the users or clients provide.
- To keep the personally identifiable information and any other provided information accurate and up-to-date.
- To not develop and create any direct competition on the services provided by the Acuity Website or create a similar marketplace anytime during or for a period of two (2) years from the date of termination as the User or Client of our Platform.
- Understand, to the full extent permissible by law, the Acuity Website, Company, and its directors, officers, employees, agents, licensors, and representatives, shall not be liable for any loss or damage, of any kind, direct or indirect, in connection with or arising from the use of this Acuity Website, including but not limited to compensatory, consequential, incidental, indirect, special or punitive damages.

- DISPUTE RESOLUTION

If the dispute is not resolved, the parties shall refer the dispute to the binding arbitration in accordance with the California Arbitration Act and the rules made thereunder and the American Arbitration Association (AAA) Rules. The Arbitrator’s award shall be final, and binding on the parties. The cost of arbitration proceedings shall be governed by AAA Rules and borne by both parties. The user shall raise its claim within one (1) year after the claim arises. Additionally, if the user is unable to resolve the dispute, the Company has the right to terminate the Terms with the User.
- GOVERNING LAW
- These terms shall be governed and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions.
- Any dispute arising from or relating to these terms or services shall be brought exclusively in the state or federal courts located in Orange County, California. You consent to the personal jurisdiction of such courts and waive any objection to such courts based on the venue or inconvenience of such forum.
- NO RELATIONSHIP
Nothing in this Website and its services shall construed to establish a partnership, joint venture, agency, or employment relationship between the parties. The Company shall not be responsible for the acts or omissions of the user and the user shall not represent the Company nor does it have any power or authority to speak for, represent, bind, or assume any obligation on behalf of the Company.
